Version 1.0 — effective 13 October 2026

These General Terms apply to every offer, order, delivery, consignment, loan of instruments, technical support service and invoice of Neuro, and to the use of www.neuro.bg. Neuro supplies medical devices, mainly implantable devices and instruments for cranial and spinal neurosurgery, exclusively to healthcare institutions and healthcare professionals in Bulgaria. Part A contains general terms; Part B the supply of medical devices; Part C consignment stock and loaner instrument sets; Part D technical support in the operating room. For contracts awarded under the Public Procurement Act, the public contract and the procurement documents prevail.

Part A — General Terms

  1. Professional customers only. We sell only to medical institutions, healthcare professionals and other professional customers, not to consumers. Information on our website is intended for healthcare professionals, is not medical advice and does not replace the manufacturer's instructions for use, which always prevail.
  2. Contract. A contract is concluded when the customer accepts our written offer or we confirm an order in writing (including by e-mail). Offers are valid for 30 days unless stated otherwise. The customer's general terms apply only if accepted by us in writing.
  3. Prices. Prices are in euro, exclude VAT and include delivery to the customer's premises in Bulgaria unless stated otherwise. Prices for public customers are those of the public contract.
  4. Payment. Unless otherwise agreed, invoices are payable within 30 days; for public authorities and medical institutions, the periods of Article 303a of the Commerce Act apply, up to 60 days. In case of late payment, statutory interest under Bulgarian law and the fixed compensation of €40 per invoice under Article 309a of the Commerce Act are due.
  5. Compliance. Neuro operates in accordance with the MedTech Europe Code of Ethical Business Practice and Bulgarian law on interactions with healthcare professionals. No order, price or support is conditional on any benefit to a healthcare professional.
  6. Confidentiality. Each party keeps confidential the commercial terms and any non-public information received from the other, including patient-related information our staff may see in the course of their work.
  7. Liability. Our liability is limited to the price of the products or services concerned, and we are not liable for lost profit or indirect loss, except in cases of intent or gross negligence (Article 94 of the Obligations and Contracts Act) and except for death or personal injury. Product liability for design and manufacture lies with the manufacturer.
  8. Force majeure. Neither party is liable for non-performance caused by force majeure within the meaning of Article 306 of the Commerce Act, including manufacturer shortages, recalls, transport disruption and government measures. We will inform the customer promptly and propose equivalent products where possible.
  9. Personal data. We process personal data under the GDPR and the Personal Data Protection Act, as described in our Privacy Policy.
  10. Governing law and jurisdiction. These General Terms are governed by Bulgarian law. Disputes are settled by the competent court in Sofia. The Bulgarian text prevails.

Part B — Supply of Medical Devices

  1. Regulatory status. All devices bear the CE marking under Regulation (EU) 2017/745 (MDR) or, where still permitted, the previous Directives, and are supplied in compliance with the Medical Devices Act and the requirements of the Bulgarian Drug Agency (BDA), including labelling and instructions for use in Bulgarian where required. As a distributor we fulfil the obligations of Article 14 MDR.
  2. Delivery and risk. Delivery dates are estimates unless agreed as binding. Risk passes on delivery; ownership passes on full payment, except for consignment stock (Part C).
  3. Inspection on receipt. The customer checks quantity, visible damage, integrity of sterile packaging and expiry date and notifies any discrepancy within 2 working days. Devices with damaged sterile packaging must not be used and will be replaced.
  4. Storage and use. The customer stores and uses the devices in accordance with the instructions for use and the label.
  5. Traceability. Devices carry a UDI and lot or serial number. The customer records the UDI of implantable devices in the patient's medical documentation and hands the patient the implant card supplied by the manufacturer (Article 18 MDR).
  6. Vigilance and field safety. The customer informs us without delay of any incident, suspected incident or complaint, keeps the device and packaging where possible, and cooperates with field safety corrective actions and recalls. We inform the manufacturer and, where required, the BDA.
  7. Returns. Returns require our prior written consent. We accept only devices in unopened, undamaged original sterile packaging, correctly stored, returned within 30 days of delivery with at least 6 months of remaining shelf life; a handling charge of 15% applies unless the return results from our error. Custom-made, patient-specific, opened, re-sterilised, implanted or explanted devices cannot be returned.
  8. Warranty. Devices carry the manufacturer's warranty. Devices defective at delivery are replaced or credited. The warranty does not cover use contrary to the instructions for use, improper storage or reprocessing, or expired devices.

Part C — Consignment Stock and Loaner Instrument Sets

  1. Consignment stock. Devices placed on consignment remain Neuro's property until used. The customer stores them securely, does not pledge or transfer them and reports each use (product, lot/serial number, date) by the next working day; use is invoiced on the basis of the report.
  2. Stock counts. We may count consignment stock at agreed times. Items missing, damaged or expired through the customer's fault are invoiced at the list price.
  3. Loaner sets. Instrument and implant sets lent for a procedure remain Neuro's property. The customer reprocesses them in its sterilisation unit in accordance with the manufacturer's instructions (EN ISO 17664) before first use and before return, and returns them complete within 3 working days of the procedure, with confirmation of decontamination. Missing or damaged instruments are charged at list price.

Part D — Technical Support in the Operating Room

  1. Nature of the support. At the request of the surgeon or the medical institution, our product specialists may attend procedures to provide technical information on the devices we supply. All clinical decisions and the performance of the procedure remain exclusively with the treating physician and the hospital team.
  2. Presence in the operating room. Product specialists comply with the institution's rules on access, hygiene and attire, enter the sterile field only where permitted and under the surgeon's direction, and keep patient information confidential.
  3. No inducement. Technical support is part of the supply service and does not constitute a benefit to any healthcare professional.
